What is a non-disclosure agreement or confidentiality agreement? In short, a non-disclosure agreement is a legally binding document that allows one party to discuss freely an un-patented idea or concept to another party (an investor for example), without the worry of the recipient party divulging or disclosing the idea or concept to anyone else. The document requires that the recipient of the information maintain the information as confidential. If the information or idea is disclosed without an executed confidentiality agreement and there is no patent to protect the information, the information is presented with what is called "public disclosure" and the idea or concept is not protected and the inventor of the idea or concept has no legal right to its ownership. Our confidentiality agreement covers all the interests of the inventor of the confidential information and insures they maintain their ownership of the information. The owner of the information could be a person presenting an idea to a company, or a company looking to hire a new employee that does not want to divulge too much information to the potential employee without protection.
Our confidentiality agreement document makes it clear that the individual or company to whom the information is being revealed can NOT disclose to any third parties
any information that the owner deems confidential. It also makes clear who the owner of the confidential information is and that they retain ownership
of the information while being able to communicate freely about it. Finally, our confidentiality agreement contains a section for equitable relief
which states that should the recipient of the confidential information violate the agreement and disclose any confidential information to any third party,
they will be held liable and must pay costs and/or damages.
