Agent Definition:

In a lot of cases, a company will assign a person to evaluate confidential information. This would be the case if the owner of the confidential information is presenting an idea to a large company, and the company has assigned a representative to act on their behalf.

Non-Compete Provision:

If you select "yes" here, we will include a provision in the document that would prevent the person receiving the confidential information from taking employment from a direct competitor of the person or company offering the confidential information for a period of one year.

Type Of Confidential Information:

The type of confidential information that you enter into this box should be generic, categorical information. You do NOT want to include specifics about the information so that you do not divulge too much information in the agreement itself. Be sure, however, that you do include the category of the type of information that you will be disclosing to insure that you are covering yourself with the agreement. Reason For Confidential Information:

The reason for the confidential information is the basic reason for which this document is being created. It can range from a potential employee to evaluate a company to determine whether or not he or she would like to work there, to a person trying to maintain confidence about an idea they have that they are trying to sell.

Samples:

• so that he may assess the company while considering whether to enter into an employment contract with them
• so they may determine whether or not to invest in a proprietary idea on how to reduce air pollution

Compensation:

In a lot of cases, the person being told the confidential information is compensated for hearing or reading the confidential information as a "reward" for obliging to the agreement and promising to keep the information confidential. By providing compensation, the person to whom the information is being told does not feel as though they are signing something for no reason.
